These Terms and Conditions constitute a legally binding agreement between you and comanager, Inc. governing your access to and use of the comanager platform, including all associated services, features, and content.

By creating an account or using the platform, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, you must not access or use the service.

The following definitions apply throughout these terms and conditions.

• "Platform" refers to the comanager web application, APIs, and all related services.
• "User" or "You" refers to any individual or entity that accesses or uses the platform.
• "Content" refers to any data, text, images, audio, or other materials uploaded, created, or shared through the platform.
• "Services" refers to the AI-driven tools and features provided by comanager, including release planning, campaign management, analytics, and growth strategy.

To access the platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

You must notify us immediately if you become aware of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms.

comanager grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the platform in accordance with these terms.

• You may use the platform only for lawful purposes and in compliance with all applicable laws and regulations.
• You may not use the platform to distribute malware, spam, or any harmful content.
• You may not attempt to gain unauthorized access to any part of the platform, other accounts, or connected systems.
• You may not copy, modify, distribute, or create derivative works based on the platform without prior written consent.
• You may not use automated tools to scrape, crawl, or extract data from the platform without authorization.

All intellectual property rights in the platform, including software, design, trademarks, and documentation, belong to comanager, Inc. or its licensors. Nothing in these terms grants you ownership rights in the platform.

You retain full ownership of the content you create and upload to the platform. By using the service, you grant comanager a limited, worldwide, royalty-free license to host, process, and display your content solely for the purpose of providing the services.

Certain features of the platform require a paid subscription. By subscribing, you agree to pay the applicable fees as described at the time of purchase.

Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date. Fees are non-refundable except where required by applicable law.

You can manage your subscription and billing preferences at any time through your account settings.

We are committed to protecting your personal data. Our collection, use, and storage of personal information is governed by our Privacy Policy, which forms part of these terms.

By using the platform, you consent to the data practices described in the Privacy Policy. We implement appropriate technical and organizational measures to safeguard your data.

We strive to maintain continuous availability of the platform but do not guarantee uninterrupted or error-free access. We may perform scheduled maintenance, updates, or modifications to improve the service.

We reserve the right to modify, suspend, or discontinue any feature of the platform at any time, with or without notice. We will make reasonable efforts to notify you of material changes.

To the maximum extent permitted by applicable law, comanager and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform.

Our total liability for any claim related to the service shall not exceed the amount you paid to comanager in the twelve months preceding the claim.

You agree to indemnify, defend, and hold harmless comanager, Inc. and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the platform, violation of these terms, or infringement of any third-party rights.

Either party may terminate this agreement at any time. You may close your account through your account settings or by contacting support.

We may suspend or terminate your access immediately if you breach these terms, if required by law, or to protect the security and integrity of the platform. Upon termination, your right to use the platform ceases, but provisions that by their nature should survive will remain in effect.

These terms are governed by and construed in accordance with the laws of the jurisdiction in which comanager, Inc. is incorporated, without regard to conflict of laws principles.

Any disputes arising from these terms or your use of the platform shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with applicable rules.

We may update these terms and conditions from time to time to reflect changes in our practices, technology, or legal requirements. We will notify you of material changes by posting the updated terms on the platform and revising the effective date.

Your continued use of the platform after changes take effect constitutes acceptance of the revised terms. If you do not agree with the updated terms, you must stop using the platform.
